REGULATIONS FOR THE CULTURE

DIFFUSION FOUNDATION

(Zaidan-Hojin Bunka-Fukyukai)



CHAPTER I. PURPOSE

Art. 1 - The purpose of the Foundation is elevate the national standard of living, undertaking such activities as may be essential to the purpose.

Art. 2 - The following work shall be undertaken in compliance with purpose stated in the foregoing article:

(1) To build modern apartment houses with up-to-date furnishings, and other model houses.
(2) To teach Home Economics and to educate modern professional housekeepers.
(3) To do reserch work on economic and social problems, especially on the Theory and Practice of Economic Consumption: to publish books and periodicals; and to give public lectures and demonstrations.
(4) To undertake any other work deemed necessary for the fulfilment of the purpose of the Foundation.


CHAPTER II. NAME AND LOCATION

Art. 3 - The Foundation shall be called Zaidan-Hojin Bunka-Fukyukai
(The Culture-Diffusion-Foundation).

Art. 4 - The office of the Foundation shall be located at No.5, 1 Chome, Motomachi, Hongo, Tokyo.


CHAPTER III. PROPRERTY AND FINANCES

Art. 5 - The property of the Foudation shall be as follows:
(1) Two story house at No.1. NIshi 3 Chome, Kita 12 Jyo, Sapporo, which was contributed by Kokichi Morimoto, founder of the Foundation.
(2) Money and commodities which shall be donated after the establishment of the Foundation.
(3) Other circlating and fixed capital which shall be added or acquired after the establishment of the Foundation.
(4) Any revenues and founds.

Art. 6 - Money and valuable papers possessed by the Foundation shall be deposital in trustworthy bank or Post office, and the fixed proprety shall be managed by such methods as are approved by resolution of the Council.

Art. 7 - The expense of the Foundation shall be defrayed out of the following incomes:

(1) Incom from the property of the Foudation.
(2) Income from the work of the Foundation.
(3) Other income.
Art. 8 - The financial year shall begin on April 1 and end on March 31 of the next year.

Art. 9 - The financial budget of the Foundation shall be decided by the majority vote of the members of the Council, and the settled accounts shall be approved by the Council.


CHAPTER IV. OFFICERS

Art. 10 - There shall be the following officers in the Foundation:
Three Directors, one of whom shall be Chief Director.
Eight or more members of the Council.
Art. 11 - The Directors shall be elected by the Board of Directors, and Chief DIrector by the Directors.

Art. 12 - The Chief Director shall have cahrge of all affairs of the Foundation and he shall represent the Foundation. In case he is not able to fulfil his duties, one of the other Directors who has been previously appointed , shall discahnge his duties.

Art. 13 - The members of the Council shall be appointed by the Chief Director with the approvel of the Board of Directors.

Art. 14 - The term of the Directors and of the members of the Council shall be four years, and they may be re-elected or re-appointed. The term of those who are elected to fill a vacancy shall cover only the unexpired period.

Art. 15 - Officers shall perform their duties until their successors are elected and take office.

Art. 16 - The Chief DIrector may appoint advisors, managers and such other officials as may be necessary.


CAHPTER V. COUNCIL

Art. 17 - The Council shall be convoked by the Chief Director whonever he considers it necessary, and all matters of great importance shall be submitted to the Council for deliberation. The Chief Director shall preside over the meetings.

Art. 18 - A quorum shall consist of amajority of Members.
Howeverm this reguration shall not apply in case the Council is called meet twicw for the consideration of same subject.


CHAPTER VI. DISSOLUTION

Art. 19 - The FOundation shall not be dissolved except those reasons stated in Article 68, Clause I, paragraph 2 of the Civil Laws.

Art. 20 - The Foundation can only be disolved by a three-fourths majority of the Council.

Art. 21 - If there be any proprety remaining at the time of dissolution, it shall be contributed to some organization conducting work similar to that of this Foundation.


CHAPTER VII. SUPPLEMENTARY PROVISIONS

Art. 22 - Amendments to these Articles shall be decided by a three-fourths majority vote of the Council, and shall take effect after apporoval by the proper goverment authorities.

Art. 23 - All impotant by-laws rrelative to the work of the Foundation shall be settled by the approval of the Council, but those of a minor nature may be decided by the Chief Director.

Art. 24 - The first members of the Council and the first Board of Directors shall be appointed by the founder of the Foundation, Kokichi Morimoto, and he shall assume the office of Chief Director for an unlimited term, regardless of the reguration stated in Articles 11 and 14.
